I just got a request to change a VM password and backup a Vodavi DVX and was told this requires Vodavi software.
1. Do you need software for both of these?
2. Where can I get software?

No you can change the VM password by logging into the administrator mailbox. As for backing up the phone system use Procom or hyperterminal and straight through serial cable.
with command ,86<enter> and W<enter>
